1. Definitions
“Digital Content” means the software plugin (including the VS Code plugin), licence key, downloadable files, and any related digital materials supplied by The Stratus.
“Activation” means the action of deploying or enabling the licence key so that the Digital Content can be used.
“Paddle” means Paddle.com acting as Merchant of Record for payments, invoicing and refunds, in accordance with its own Terms & Conditions and Refund Policy.
2. Delivery

Once your payment is confirmed by Paddle, you will receive a download link and licence key to your registered email and/or your The Stratus account.

An electronic invoice will be issued automatically in electronic form.

If technical problems prevent or unreasonably delay delivery of the Digital Content, the exclusive remedy is replacement of the Product or a refund of the price paid, as determined by Paddle.
3. Right of Withdrawal & Refunds (14 Days)
If you are a Consumer, you have a 14-day right to cancel this Agreement and request a refund, starting from the day after completion of the Transaction, unless the exception for Digital Content applies (see below).
To exercise this right within 14 days, you must notify Paddle (using the contact options provided in your order confirmation or Paddle’s “Contact Us” form) of your decision to cancel. It is sufficient to send your communication before the 14-day period expires.
Paddle will reimburse all payments received from you without undue delay and no later than 14 days from the day it is informed of your decision to cancel. Reimbursement will be made using the same means of payment you used for the original transaction.
4. Exception for Digital Content
Your statutory right to cancel does not apply to:

Digital Content that you have started to download, stream, activate or otherwise acquire, and/or
-
Products which you have already had the benefit of.
By downloading, activating or otherwise accessing the Digital Content immediately after purchase, you consent to the immediate performance of the contract and acknowledge that you lose your withdrawal right once the download/activation has begun, in line with Paddle’s Terms.
This exception does not affect your rights as a Consumer in relation to Digital Content which is not as described, faulty or not fit for purpose.
5. Defective or Non-Functioning Product
If the plugin fails to install or does not function as described in the documentation:

Contact us at support@thestratus.co with your order details and a description of the issue.

We will provide reasonable assistance (e.g. guidance, bug fixes, updates) and may coordinate with Paddle where necessary.
If the Product is not as described, faulty or not fit for purpose, you may be entitled to a replacement or refund in accordance with Paddle’s Refund Policy and applicable consumer protection laws.
6. How to Request a Refund
For purchases made via Paddle:

Use the link or “View order / Manage order” information in your Paddle receipt, or
-
Contact Paddle through its “Contact Us” form, or
-
Contact The Stratus at support@thestratus.co with your order number, purchase email address and reason for refund; we will assist you in submitting the request to Paddle.
All refunds for Paddle-processed payments are handled in accordance with Paddle’s own Refund Policy and are issued via the original payment method, unless Paddle determines otherwise.
7. Limitations, Fraud & Abuse

Refunds are provided at the sole discretion of Paddle and on a case-by-case basis and may be refused.

Paddle will refuse a refund request if there is evidence of fraud, refund abuse or other manipulative behaviour that entitles Paddle to counterclaim the refund.

This does not affect your rights as a Consumer in relation to Products which are not as described, faulty or not fit for purpose.
8. Payment by Wire Transfer
If Paddle allows payment by wire transfer for your order:

It is your responsibility to provide correct payment details (including your unique bank transfer reference number, VAT/sales tax code and order information).

Orders paid by wire transfer are not protected under the Consumer Credit Act (CCA) and are therefore not eligible for a standard refund.
-
However, in cases where the transaction amount including sales tax, or the sales tax refund amount, exceeds $/£/€100, you may be entitled to a refund including the sales tax you paid, at Paddle’s discretion.
9. Indirect Sales Tax Refund Policy
If you have been charged sales tax (e.g. VAT, GST, Consumption Tax) on your purchase and you are registered for sales tax in the country of purchase, you may be entitled to a refund of the sales tax amount if permitted by applicable law.
Conditions:

You must contact Paddle within 60 days after completing the purchase.

A valid sales tax code for your country must be provided.

Refunds of sales tax for wire transfer payments are subject to the rules in section 8 above.
Refund requests received after 60 days from the date of the Transaction will not be processed.
10. Subscriptions (If Applicable)
If The Stratus Products are offered on a subscription basis through Paddle (“Paid Subscriptions”):

Subscriptions renew automatically until cancelled.
-
If the subscription price changes, you will be notified and, where required, your consent will be requested to continue.

You will be charged between 00:00 and 01:00 (UTC) on the day the Paid Subscription period renews.

To cancel a subscription, you must contact Paddle (or follow the cancellation link in your order/receipt) at least 48 hours before the end of the current billing period.

Cancellation takes effect at the next payment date; there are no refunds for unused subscription periods, in line with Paddle’s policy.
Some subscriptions may include a free trial. If you cancel before the end of the trial period, no charge will be made. If Paddle cannot charge your payment method and you have not cancelled, you remain responsible for any uncollected amounts. Paddle may cancel your subscription if it is unable to renew it.
11. Governing Law
This Refund Policy is governed by the laws of the Republic of Turkey, without prejudice to:

Mandatory consumer protection laws of your country of residence, and
-
The Paddle Terms & Conditions and governing law provisions applicable to your Transaction.
Nothing in this Policy affects your statutory rights as a Consumer or your rights under Paddle’s own Terms and Refund Policy.
